1. Acceptance of Terms

These Terms of Service ("Terms") govern your use of the services provided by ClearMemorium B.V. ("ClearMemorium", "we", "our", or "us"), a real estate consultancy company registered in the Netherlands (Registration Number: NL91837463, VAT Number: NL005918374B01).

By engaging our services, accessing our website at clearmemorium.info, or entering into any agreement with ClearMemorium, you ("Client", "you", or "your") agree to be bound by these Terms. If you do not agree to these Terms, you may not use our services.

2. Description of Services

ClearMemorium provides professional real estate consultancy services, including but not limited to:

• Property valuations and assessments
• Market research and analysis
• Investment advisory services
• Due diligence and feasibility studies
• Strategic property consultation
• Other related real estate advisory services

All services are provided in accordance with professional standards and applicable laws in the Netherlands.

3. Client Obligations

As a client of ClearMemorium, you agree to:

• Provide accurate, complete, and timely information necessary for service delivery
• Pay all fees and charges in accordance with agreed terms
• Cooperate with our team and provide reasonable access to properties and documentation
• Use our services and reports only for lawful purposes
• Maintain confidentiality of any proprietary methodologies or sensitive information shared by ClearMemorium
• Notify us promptly of any changes that may affect our services

4. Fees and Payment

Service fees will be agreed upon before commencement of work and may vary based on the scope and complexity of services required. Unless otherwise specified:

• Fees are quoted in Euros (EUR) and exclude VAT where applicable
• Payment terms are typically 30 days from invoice date
• Late payment may result in interest charges and suspension of services
• Additional work beyond the agreed scope may incur extra charges
• Expenses and third-party costs may be charged separately

5. Intellectual Property

All intellectual property rights in our methodologies, reports, analysis, and other work products remain the property of ClearMemorium. You are granted a non-exclusive licence to use our reports and deliverables for your intended business purposes, subject to the following:

• You may not reproduce, distribute, or publish our work without written consent
• You may not reverse engineer our methodologies or proprietary processes
• Any derivative works based on our reports remain subject to these Terms
• Our trade marks, logos, and brand elements may not be used without permission

6. Confidentiality

We understand the sensitive nature of property and financial information. ClearMemorium agrees to:

• Maintain strict confidentiality of all client information
• Use client data only for the purpose of providing agreed services
• Implement appropriate security measures to protect sensitive information
• Not disclose client information to third parties without consent, except as required by law

This obligation continues beyond the termination of our services.

7. Limitation of Liability

While we strive to provide accurate and reliable consultancy services, property markets are inherently uncertain and subject to various factors beyond our control. Accordingly:

• Our advice and reports are based on information available at the time of preparation
• We make no warranties regarding future market performance or investment outcomes
• Our liability is limited to the fees paid for the specific services in question
• We exclude liability for indirect, consequential, or speculative losses
• Any claims must be notified within 12 months of service delivery

This limitation applies to the fullest extent permitted by Dutch law.

8. Professional Standards

ClearMemorium operates in accordance with professional standards and industry best practices. However:

• Our services constitute professional opinions and advice, not guarantees
• Clients should seek independent legal, financial, and technical advice as appropriate
• We reserve the right to decline services that may present conflicts of interest
• All work is performed with reasonable skill and care

9. Data Protection

We process personal data in accordance with our Privacy Policy and applicable data protection laws, including the General Data Protection Regulation (GDPR). By using our services, you consent to such processing as described in our Privacy Policy.

10. Termination

Either party may terminate services with reasonable notice. Upon termination:

• You remain liable for fees for services already provided
• We will deliver any completed work products
• Confidentiality obligations continue indefinitely
• We may retain records as required by law or professional standards

We reserve the right to terminate services immediately in case of non-payment or breach of these Terms.

11. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including but not limited to natural disasters, government actions, strikes, or other unforeseeable events.

12. Amendments

We may update these Terms from time to time. Material changes will be communicated to existing clients. Continued use of our services after such changes constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the Netherlands. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the competent courts in Breda, Netherlands.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, such provision shall be severed and the remainder of the Terms shall continue in full force and effect.

15. Entire Agreement

These Terms, together with any specific service agreements and our Privacy Policy, constitute the entire agreement between you and ClearMemorium regarding the use of our services, superseding any prior agreements or understandings.
